En esta ocasión nos corresponde atender dos recursos de certiorari, KLCE081402 y KLCE081403, cuya consolidación ordenamos. En ambos se recurre de la Sentencia emitida por el Tribunal de Primera Instancia, Sala de San Juan, el 29 de agosto de 2008, archivada en autos copia de su notificación, el 3 de septiembre siguiente. Mediante este dictamen el TPI confirmó el laudo de arbitraje emitido en el caso Beers American Builders, Inc. v. BePoCo, Inc, et als., Case No 50 110 T 00506 04, ante el International
Centre for Dispute Resolution, adscrito al American Arbitration
Association.
En el primero de los casos consolidados, KLCE081402, BePoCo
alega que se le violó su derecho a un debido proceso de ley al emitirse un laudo en el que se hacen determinaciones en su contra sin que se le brindara la oportunidad de defenderse. Esto debido a que había sido excluido del arbitraje por virtud de la paralización automática de los procedimientos al amparo de la Ley de Quiebras de los Estados Unidos, 11 U.S.C. sec. 101, et
seq., al cual se había acogido. Por su parte, MAPFRE Grupo PRAICO, en el recurso KLCE081403, cuestiona la jurisdicción del árbitro para emitir el laudo impugnado.
Examinadas las alegaciones de las partes, así como el derecho aplicable, acordamos expedir el auto solicitado.
A finales de 2000 Beers American Builders, Inc. (Beers) fue contratado para la construcción
Princess Condominium en el área del Condado en
subcontrató los servicios de BePoCo
para que realizara unos trabajos de hormigón, instalación de acero de refuerzo y cables tensores, por la cantidad de $735,000.00. Como parte de los acuerdos, BePoCo se obligó a obtener una fianza para garantizar el cumplimiento de los términos y condiciones del negocio, comúnmente denominada como un performance and payment bond.
El contrato también disponía para que cualquier reclamación que surgiera entre las partes se dilucidara a través de un procedimiento de mediación y arbitraje.
Al respeto la cláusula
6.2 establecía:
6.2.1 Any claim arising out of or related to this Subcontract, except claims as otherwise provided in Subparagraph 4.1.5 and except those waived in this Subcontract, shall be subject to arbitration. Prior to arbitration, the parties shall endeavor to resolve disputes by mediation
6.2.2. Claims not resolved by mediation shall be decided by arbitration which, unless the parties mutually agree otherwise, shall be in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association currently in effect. Demand for arbitration shall be filed with the other party to this Subcontract and with the American Arbitration Association, and a copy shall be filed with the Architect.

6.2.4 Limitation on consolidation or Joinder. Except by written consent or the person or entity sought to be joined, shall include, by consolidation or joinder or in any other manner, any person or entity not a party to the Subcontract under which the arbitration arises, unless it is shown at the time the demand for arbitration is filed that (1) such person or entity is substantially involved in a common question of fact or law, (2) the presence of such person or entity is required if complete relief is to be accorded in the arbitration, (3) the interest or responsibility of such person or entity in the matter is no insubstantial, and (4) such person or entity is not the Architect, the Architects employee, the Architects consultant, or an employee of any of them. This agreement to arbitrate and any other written agreement to arbitrate with an additional person o persons referred to herein shall be specifically enforceable under applicable law in any court having jurisdiction thereof.
Asimismo, las partes acordaron que el laudo emitido por el árbitro sería final y no se requirió que su decisión fuese conforme a derecho.
En cumplimiento con la cláusula sobre la adquisición del performance
and payment bond, el 7 de diciembre de 2000, BePoCo
suscribió un contrato de fianza con MAPFRE en el cual se incorporaron expresamente los términos del contrato suscrito entre BePoCo
y Beers. Al respecto
se dispuso que [w]hereas the Principal has entered into a certain written contract with the Obligee which contract is hereby referred to and made a part hereof, as fully and to the same extent as if copied at length herein.
Con respecto a los límites de responsabilidad de MAPFRE en calidad de fiadora, se estableció, en lo pertinente que:
The foregoing obligation, , is limited by the following express conditions, the performance of each of which shall be a condition precedent to any right of claim or recovery hereunder:

5. No claim, action, suit or proceeding shall be held or maintained against the Surety on this instrument:
-
Unless claimant, for labor or materials, shall have given written notice to the Surety within ninety (90) days after claimant did or performed the work or labor, or furnished materials for which claim is made

After the expiration of twelve (12) months following the date on which Principal ceased work on said contract, the principal shall be a party to any such suit or action and be served with process prior to or contemporaneously with the Surety if the Principal can with the reasonable diligence be found.
